This Country Note consolidates information published in the 2025 edition of the OECD Corporate Governance Factbook. Along with the summary of recent developments, it provides an overview of France’s corporate governance framework and related information benchmarked against 51 other jurisdictions covered by the Factbook, including all OECD and G20 members.

The information in this document is as of 31 December 2024 unless otherwise specified.

1. Recent developments (as of October 2025)

• The Attractiveness Act, adopted in June 2024, has:

  • strengthened the ability for boards of directors of French companies to meet online and to make decisions in writing.

  • allowed listed companies to issue multiple voting shares during an initial public offering under certain conditions.

  • simplified the procedure for setting the issue price in the event of a capital increase by removing the pre-emptive rights.

• The EU Corporate Sustainability Reporting Directive was transposed into French law in December 2023, with the goal of enhancing the quality and comparability of sustainability reporting. As from 2024, large, listed companies are covered by the new obligations.

• In October 2025, the Autorité des Marchés Financiers (AMF) announced new measures to facilitate access to listing, following the recommendations outlined in the final report titled “Recommendations on Possible Developments in IPO Practices in France”, published by the IPO Forum, a working group established in 2022.
