The board lies at the centre of a company’s governance, accountability and long-term strategy, and how well it functions is influenced by its structure and composition. Drawing on firm-level data and insights from the 2025 OECD Corporate Governance Factbook, this policy brief examines how policy frameworks for board structure and composition are implemented in practice. It also identifies areas where more granular information could provide greater insight into how policy measures are applied, particularly in jurisdictions that rely on soft-law recommendations or more flexible regulatory frameworks.
