OECD Corporate Governance Factbook 2025: Sweden

This Country Note consolidates information published in the 2025 edition of the OECD Corporate Governance Factbook. Along with the summary of recent developments, it provides an overview of Sweden’s corporate governance framework and related information benchmarked against 51 other jurisdictions covered by the Factbook, including all OECD and G20 members.

In July 2025, the Swedish Stock Market Self-Regulation Committee issued rules on voluntary delisting, mainly constituting a codification of the Swedish Securities Council´s practice in various aspects concerning voluntary delisting. The rules also stipulate the possibility for issuers to obtain the approval of a general meeting for a delisting decision.
In January 2024, the Swedish Corporate Governance Board amended its Corporate Governance Code, including amendments on upcoming demands regarding the issuance of a separate sustainability report. The amendments also included a new Code-rule obliging listed companies to hold physical general meetings.
On 7 July 2023, the Swedish Stock Market Self-Regulation Committee amended the rules on private placements of shares, emphasising the responsibility of the issuer to clearly inform the shareholders and the stock market about the board’s proposal or decision on deviating from the shareholders´ preferential right and how the pricing of the issue is determined.
In April 2024, the Association for Good Practice in the Securities Market issued an open consultation for self-regulation of the Swedish corporate bond market. In 2024, following dialogue with the Swedish Financial Supervisory Authority, the Association for Good Practice in the Securities Market appointed a working group tasked with developing a proposal for self-regulation of the Swedish corporate bond market.
In January 2024 and July 2025, the Swedish Stock Market Self-Regulation Committee amended its takeover-rules. The amendments included, inter alia, adjustments of the maximum fee that the disciplinary committee may impose, from SEK 500 million (USD 43.2 million) to SEK 5 billion (USD 451.6 million) and development of the explanatory comments on the rules.
