On 16 April 2008, the OECD Steering Group on Corporate Governance invited representatives from the activist hedge fund industry and other activist investors to discuss potential policy issues including their use of shareholders rights (such as board nomination), the impact of their activism on market abuses prevention, the scope for shareholder cooperation into the light of “acting in concert” regulations, as well as the use of derivatives instruments to boost investors’ voting power.

Afin de soutenir les pays dans la mise en œuvre des Lignes Directrices, le Groupe de Travail de l’OCDE sur la Privatisation et la Gouvernance des Entreprises Publiques développe un guide d’application dans le domaine de la transparence et la reddition de compte. Le texte provisoire a été soumis à la sagacité du public par le biais d’une consultation en ligne entre le 15 février et le 3 mars 2008.

The OECD launched its Global Network on Privatisation and Corporate Governance of State-Owned Enterprises with an inaugural meeting in Paris on 5 March 2008. Participants from 45 countries agreed that the Global Network will serve as a platform for policy dialogue and exchange of experience in the areas of corporate governance of state-owned enterprises and privatisation. This meeting also provided Network members with the opportunity to discuss the draft Implementation Guide for Transparency and Accountability in State Ownership.

At its meeting on 14 November 2007, the Steering Group on Corporate Governance agreed on a common position based on the OECD Principles of Corporate Governance about the issue of whether there should be proportionality between ownership and control (also known as one-share-one-vote) in listed companies.

The Latin American Roundtable on Corporate Governance reviewed institutional investors’ experience and their influence on corporate governance when it met on 10-11 October, 2007 in Colombia. Finding some promising practice but significant shortcomings, they agreed to develop White Paper recommendations to encourage more engaged and informed ownership. The Roundtable also reviewed experience with voluntary corporate governance codes.

The Asia Network on Corporate Governance of SOEs met on 19-20 April 2007 in Cebu, the Philippines. This second meeting focused on the role of the board and the relations with stakeholders (two chapters of the OECD guidelines on corporate governance of state owned enterprises, namely the responsibilities of the boards and relations with stakeholders in chapters VI and IV).

Des experts de haut niveau d’Asie vont se réunir à New Delhi le 25-26 Juin 2008 pour discuter des challenges liés à la gouvernance des entreprises publiques, et plus particulièrement concernant la transparence et la reddition de compte, tout comme du traitement équitable des actionnaires. Ceci sera la troisième réunion du réseau asiatique de gouvernance des entreprises publiques, qui est devenu un centre de dialogue à haut niveau sur la gouvernance des entreprises publiques en Asie, utilisant les Lignes Directrices de l’OCDE comme cadre de discussion.

Cette réunion a abordé également de la transparence et de la reédition des comptes, thèmes principaux de la récente réunion du Réseau global de l'OCDE sur la privatisation et la gouvernance des entreprises publiques du 5 mars dernier, afin de finaliser le Guide d'application de l'OCDE sur la transparence et de la réédition des comptes de l'Etat actionnaire.

Des législateurs, des responsables d’entités actionnariales et des représentants d’entreprises publiques ainsi que des experts d’environ 25 pays non-membres de l’OCDE se sont réunis pour la première fois au sein du « Réseau Global sur la Privatisation et la Gouvernance des Entreprises Publiques » qui a eu lieu à Paris le 5 Mars 2008. Cette réunion a visée à discuter et revoir un projet de Guide d’Application sur la Transparence et la Reddition de Compte de l’Etat Actionnaire.

The Eurasian Corporate Governance Roundtable established a task force to develop a policy options paper (“policy brief”) addressing corporate governance challenges shared by commercial banks in Eurasia. Based on some existing norms developed by the OECD or the Basel Committee on Banking Supervision, the policy brief is to be developed through active discussion within the Task Force that includes experts from Eurasian countries, OECD member countries and international organisations. The Task Force has its meeting to discuss the draft policy brief in Tbilisi, Georgia, on 17 May 2007.
