As ongoing corporate bribery investigations and scandals make headlines around the world, Transparency International (TI) has published a working paper on the OECD’s Guidelines for Multinational Enterprises, a set of social, labour, environmental and anti-corruption standards for transnational companies. This working paper explains the Guidelines and their relevance in fighting corruption in the private sector. Case studies illustrate recent instances when civil society has filed complaints in different countries related to bribery and other violations.

On 16 April 2008, the OECD Steering Group on Corporate Governance invited representatives from the activist hedge fund industry and other activist investors to discuss potential policy issues including their use of shareholders rights (such as board nomination), the impact of their activism on market abuses prevention, the scope for shareholder cooperation into the light of “acting in concert” regulations, as well as the use of derivatives instruments to boost investors’ voting power.

Adopted in 2005, the OECD Guidelines on Corporate Governance of State-Owned Enterprises have become a global benchmark. To assist countries in implementing the Guidelines, the OECD is developing an implementation guide in the area of accountability and transparency. The draft text was made available for public comment through an online consultation between 15 February and 3 March 2008.

The OECD launched its Global Network on Privatisation and Corporate Governance of State-Owned Enterprises with an inaugural meeting in Paris on 5 March 2008. Participants from 45 countries agreed that the Global Network will serve as a platform for policy dialogue and exchange of experience in the areas of corporate governance of state-owned enterprises and privatisation. This meeting also provided Network members with the opportunity to discuss the draft Implementation Guide for Transparency and Accountability in State Ownership.

At its meeting on 14 November 2007, the Steering Group on Corporate Governance agreed on a common position based on the OECD Principles of Corporate Governance about the issue of whether there should be proportionality between ownership and control (also known as one-share-one-vote) in listed companies.

The compendium is part of the project on "Strengthening Entrepreneurship and Economic Development in East Germany"carried out by the OECD and the Federal Ministry of Housing, Land, Construction, Transport and Urban Affairs. The compendium is built of several themes of relevance to local entrepreneurship development in East Germany. It brings together recommendations, International learning models and good practice in East Germany.

The Latin American Roundtable on Corporate Governance reviewed institutional investors’ experience and their influence on corporate governance when it met on 10-11 October, 2007 in Colombia. Finding some promising practice but significant shortcomings, they agreed to develop White Paper recommendations to encourage more engaged and informed ownership. The Roundtable also reviewed experience with voluntary corporate governance codes.
