On 16 April 2008, the OECD Steering Group on Corporate Governance invited representatives from the activist hedge fund industry and other activist investors to discuss potential policy issues including their use of shareholders rights (such as board nomination), the impact of their activism on market abuses prevention, the scope for shareholder cooperation into the light of “acting in concert” regulations, as well as the use of derivatives instruments to boost investors’ voting power.

At its meeting on 14 November 2007, the Steering Group on Corporate Governance agreed on a common position based on the OECD Principles of Corporate Governance about the issue of whether there should be proportionality between ownership and control (also known as one-share-one-vote) in listed companies.

The Latin American Roundtable on Corporate Governance reviewed institutional investors’ experience and their influence on corporate governance when it met on 10-11 October, 2007 in Colombia. Finding some promising practice but significant shortcomings, they agreed to develop White Paper recommendations to encourage more engaged and informed ownership. The Roundtable also reviewed experience with voluntary corporate governance codes.

The OECD Steering Group has concluded that “activist” hedge funds and private equity firms can play a positive role in corporate governance of publicly held companies and that specific issues are best addressed within the framework of the existing OECD Principles of Corporate Governance.

The Eurasian Corporate Governance Roundtable established a task force to develop a policy options paper (“policy brief”) addressing corporate governance challenges shared by commercial banks in Eurasia. Based on some existing norms developed by the OECD or the Basel Committee on Banking Supervision, the policy brief is to be developed through active discussion within the Task Force that includes experts from Eurasian countries, OECD member countries and international organisations. The Task Force has its meeting to discuss the draft policy brief in Tbilisi, Georgia, on 17 May 2007.

The Sixth Meeting of the Latin American Corporate Governance Roundtable took place in Lima, Peru, on 20 - 21 September, 2005. The Roundtable reviewed progress in implementing the recommendations of the Latin American White Paper on Corporate Governance, considered emerging practices in strengthening enforcement, and experience in improving board effectiveness. Participants also exchanged experience regarding the relevance of the new OECD Guidelines on Corporate Governance of State-Owned Enterprises in the Latin American context.

The Latin American Roundtable on Corporate Governance launched, on May 10th in Sao Paulo, Brazil, a new Companies Circle. This is an initiative led by companies who have adopted best practices of corporate governance. Its objectives are to bring together a group of Latin American companies who have adopted best corporate governance practices to provide private sector input into the work of the Roundtable; and to share with each other and the public their experiences putting the principles of good corporate governance into practice.

The OECD presented the draft of a new report on corporate governance in the region which provides a comprehensive overview of the legal framework, actual practice and reform priorities. The meeting discussed the 2004 OECD Principles of Corporate Governance and corporate governance reform in Ukraine.
